CondoVitals Terms of Service

These Terms of Service ("Terms") are an agreement between you and CondoVitals ("CondoVitals," "we," "us") governing your use of the CondoVitals website and the CondoVitals status-certificate scanning service (together, the "Service"). By creating an account, uploading a document, redeeming a gift scan, or otherwise using the Service, you accept these Terms. If you do not accept them, do not use the Service.
1. Not a Law Firm — No Legal, Financial, Tax, or Engineering Advice
CONDOVITALS IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL, FINANCIAL, ACCOUNTING, TAX, OR ENGINEERING ADVICE.
THE SERVICE, ITS REPORTS, AND ALL OTHER CONTENT DO NOT (IN WHOLE OR IN PART) CONSTITUTE, NOR ARE THEY A SUBSTITUTE FOR, LEGAL, FINANCIAL, ACCOUNTING, TAX, OR ENGINEERING ADVICE.
IT IS YOUR RESPONSIBILITY TO CONSULT A LICENSED LAWYER (AND, WHERE RELEVANT, A LICENSED FINANCIAL, ACCOUNTING, TAX, OR ENGINEERING PROFESSIONAL) BEFORE ACTING ON ANYTHING IN A STATUS CERTIFICATE OR IN A CONDOVITALS REPORT.
The Service provides general information about a document you already have. Nothing in a CondoVitals report applies the law to your personal circumstances, states your rights or obligations, or tells you what to do about a transaction. No part of the Service creates a lawyer-client, advisor-client, or fiduciary relationship.
2. What the Service Is
The Service reads an Ontario condominium status-certificate package that you upload and produces a findings report: a plain-language summary of what your own document discloses — for example, reserve-fund figures, special assessments, litigation disclosures, budget items, and insurance information — together with items to review with your own lawyer.
The findings report is document information, not a verdict:
- It summarizes what the document says. It does not evaluate whether the document, the corporation, or the transaction is good, bad, safe, or risky for you.
- It does not provide an "all-clear," a pass/fail grade, a risk score you can rely on in place of professional review, or any guarantee about the building or the purchase.
- It does not state whether any document, clause, or transaction is valid, enforceable, binding, legal, or illegal.
- Every flagged item is a question to raise with your own licensed lawyer, not a conclusion about your situation.
You remain the decision-maker. You use the Service on your own behalf, to understand a document you already possess. Any decision about buying, waiving conditions, negotiating, or walking away is yours, made with your own licensed professionals — and it is your responsibility to have a licensed lawyer review the status certificate and your transaction.
3. Accuracy and Its Limits
The Service uses automated document reading. Automated reading can miss, misread, or misplace information, and no automated system catches everything.
- No accuracy guarantee. We do not promise that a findings report is complete, error-free, or that it identifies every item in your document that matters. A finding that does not appear in the report may still exist in the document.
- Low-confidence flagging. Where the system cannot read a field confidently, the report marks that field as low-confidence rather than guessing. Low-confidence items are, by definition, unverified — items for your lawyer to confirm against the original document.
- Source of truth. Your original status certificate — not the CondoVitals report — is the authoritative document. Where the report and the document differ, the document governs.
- Refund path. If a scan fails, or the report is dominated by low-confidence fields we cannot resolve, the refund policy in Section 4 applies.
4. Refund Policy
For any paid scan:
- If the scan fails to complete, we refund the fee for that scan in full.
- If the report contains low-confidence fields that we cannot resolve (including, for the expert-verified tier, after human review), we refund the fee for that scan in full on request.
- Refund requests go to support@condovitals.ca and reference the scan in question. Refunds are issued to the original payment method.
- For gift scans, refunds for failed or unresolvable scans are issued to the purchaser (the person who paid).
Nothing in this section limits any non-waivable rights under the Consumer Protection Act, 2002 (Ontario) or other applicable consumer-protection law.
5. Accounts and Eligibility
- You need to be at least 18 years old and able to form a binding contract to use the Service.
- You are responsible for the accuracy of your account information and for activity that occurs under your account credentials.
- You confirm that you are lawfully in possession of any document you upload and have the right to submit it for analysis. Status certificates are typically obtained under s.76 of the Condominium Act, 1998 (Ontario) by or for a purchaser; upload documents you hold in that capacity or with equivalent authority.
6. Gift Scans
A gift scan is a scan purchased by one person (the "purchaser" — often a realtor or family member) for redemption by another person (the "redeeming buyer").
- The redeeming buyer accepts these Terms personally. Redeeming a gift scan requires the redeeming buyer's own acceptance of these Terms and their own express consent to the processing described in the Privacy Policy. The purchaser cannot accept on the buyer's behalf.
- The purchaser has no access to the buyer's report. The findings report belongs to the redeeming buyer's account. The purchaser — including a purchaser who is the buyer's real-estate agent — cannot view the uploaded document or the report unless the redeeming buyer chooses to share it.
- Purchaser role is limited. The purchaser's role ends at paying for the scan and delivering the redemption link. Gift scans do not make CondoVitals output the purchaser's advice or opinion, and a realtor-purchaser presenting a report as their own professional advice does so outside these Terms.
7. Payments
Paid scans are billed at the prices shown at checkout, in Canadian dollars, plus applicable taxes. Payments are processed by our payment processor (Stripe); CondoVitals does not store full payment-card numbers. Except as set out in the refund policy (Section 4) or required by law, fees are non-refundable once a scan has completed successfully.
8. Acceptable Use
You agree not to:
- upload documents you have no right to possess or submit, or documents containing another person's personal information without authority to submit them;
- use the Service to provide, or to hold output out as, legal, financial, tax, or engineering advice to any other person;
- resell, scrape, bulk-download, or systematically extract the Service or its output, or use the Service to build a competing dataset or product;
- probe, disrupt, overload, or attempt to bypass the security or technical limits of the Service (including teaser-tier rate limits);
- upload malicious files, or content that is unlawful to process or distribute;
- misrepresent your identity or your relationship to a transaction (including redeeming a gift scan on someone else's behalf).
We may suspend or terminate access for violation of this section. Where a paid scan is unaffected by the violation, the refund policy still applies to that scan.
9. Intellectual Property
The Service, including its software, design, report formats, and content (but excluding your documents and the facts your documents disclose), belongs to CondoVitals and its licensors. Your findings report is for your personal, non-commercial use in connection with your own transaction, including sharing it with your own lawyer, advisors, and the other participants in your transaction.
10. Disclaimer of Warranties
Except as expressly stated in these Terms (including the refund policy), the Service is provided "as is" and "as available," without warranties or conditions of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement — to the maximum extent those warranties can be disclaimed under applicable law. Some jurisdictions, and Ontario consumer-protection law, do not allow certain warranty disclaimers; those disclaimers apply only to the extent permitted.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- CAP. THE AGGREGATE LIABILITY OF CONDOVITALS, ITS OWNERS, EMPLOYEES, AND SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE FEES YOU PAID FOR THE SCAN GIVING RISE TO THE CLAIM. FOR A FREE OR GIFTED SCAN WHERE YOU PAID NOTHING, THE CAP FOR THE REDEEMING USER IS THE AMOUNT PAID FOR THAT SCAN BY ANY PERSON.
- EXCLUSIONS. CONDOVITALS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEPOSITS, LOST TRANSACTIONS, DIMINUTION IN PROPERTY VALUE, SPECIAL ASSESSMENTS, OR OTHER ECONOMIC LOSSES ARISING FROM A REAL-ESTATE TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- BASIS OF THE BARGAIN. THE SERVICE IS PRICED AS A DOCUMENT-INFORMATION TOOL, NOT AS PROFESSIONAL REVIEW OR TRANSACTION INSURANCE. THIS SECTION IS AN ESSENTIAL PART OF THE AGREEMENT BETWEEN YOU AND CONDOVITALS.
- NON-WAIVABLE RIGHTS. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING NON-WAIVABLE RIGHTS UNDER THE CONSUMER PROTECTION ACT, 2002 (ONTARIO).
12. Privacy
Our handling of your documents and personal information is described in the CondoVitals Privacy Policy (version 2026-07-14-draft), which forms part of these Terms. In short: uploaded files are processed to produce your report and then deleted (24-hour hard sweep at the latest); extracted findings are retained for your account; documents are never used to train models without your separate express consent.
13. Changes to the Service or These Terms
We may update the Service and these Terms. When Terms change, we will post the new version with a new version string and, for material changes, notify account holders before the change takes effect. Continued use of the Service after the effective date of an updated version constitutes acceptance of that version. Consents you have already given remain recorded against the version in force when you gave them.
14. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms. Sections that by their nature survive termination — including Sections 1, 3, 10, 11, 15, and 16 — survive.
15. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Subject to any non-waivable consumer right to bring a claim elsewhere, the courts of Ontario have jurisdiction over disputes arising from these Terms or the Service.
16. Severability
If any provision of these Terms is found invalid or unenforceable, that provision is severed or limited to the minimum extent necessary, and the remaining provisions continue in full force and effect.
